Create an identity sheet

Write down the trade name, legal offering entity, related parties identified in the disclosure and the entity expected to sign the agreement. Compare names across the FDD, proposed contract, correspondence and payment instructions. Ask for an explanation of differences rather than assuming they are interchangeable.

A directory display name helps readers navigate. It does not establish a legal relationship or identify every entity involved in an offer. Use official documents for that purpose, and verify unusual payment requests through an established channel.

Review the rights being licensed

Ask counsel to explain the trademark and other intellectual-property provisions, the scope of permitted use and the obligations if rights or branding change. The appeal of a recognizable sign does not by itself describe the rights a franchisee receives or how long they last.

For a resale or ownership restructuring, confirm which approvals and new documents apply. Rights held by a seller or another affiliated business may not transfer automatically to the proposed buyer. Keep the exact transaction in view.

Make verification a habit

Retain official source links and dates, but understand their limits. A public registration listing can identify a filing without proving that a particular payment instruction, territory or current offer is valid. Before committing funds, have advisers reconcile the parties, rights and documents involved in your proposed arrangement.

Put it on paper

  • Compare legal names across the disclosure and agreement.
  • Verify payment instructions independently.
  • Have counsel explain the licensed rights and transfer conditions.
