Treat the FDD as the beginning of diligence
The Franchise Disclosure Document organizes required information about a franchise offering into 23 items, with related agreements and attachments. It is a research tool, not a certificate that an investment is safe. Read the complete document you receive, not only a summary or a few attractive financial pages.
Keep its issuance date, any amendments, and the date you received it in your research file. Ask whether an updated document is available. A directory entry, website, or information request does not replace the franchisor’s disclosure process.
Connect the items that describe the same decision
Read costs together: initial fees in Item 5, other fees in Item 6, and estimated initial investment in Item 7. Connect support descriptions with the operating obligations and the actual agreement. Review territory provisions, renewal and termination terms, franchisee contacts, financial statements, and attachments rather than isolating one appealing section.
Write questions next to the wording that creates them. For example: which party pays, what triggers the obligation, and what happens if conditions change? Ask an independent franchise attorney to explain material terms before you commit. An accountant can help you examine financial assumptions and exposure.
Give the review process real time
The FTC rule generally requires disclosure at least 14 calendar days before a prospective franchisee signs a binding agreement with, or pays, the franchisor or its affiliate in connection with the proposed franchise sale. State requirements and particular circumstances may add obligations. Confirm the applicable process with qualified counsel and resist pressure to skip review.
Your next research step
- Save the complete document and amendments in the format received.
- Cross-reference related items and contractual provisions.
- Keep a dated question log for the franchisor, attorney, and accountant.
