Read the term and the conditions that follow it

A franchise agreement lasts for a stated period. Renewal may depend on conditions and may involve signing a different form of agreement. Do not assume that a successful operating history guarantees the right to continue on the same terms.

Ask an independent franchise attorney to explain renewal requirements, fees, required improvements, and relevant deadlines. Review how the franchise term interacts with your lease, financing, and ownership plan.

Examine transfer and sale provisions

If you expect to sell the business, understand the approval process, transfer requirements, costs, and any rights retained by the franchisor. A potential buyer may need to meet qualifications and enter into specified agreements. Review the actual documents rather than treating a future sale as automatic.

Talk with advisers about the difference between the value you hope to build and the ability to realize it under the contract. A resale plan is a planning assumption, not a guarantee that a buyer will be available at a particular price.

Understand default and post-term duties

Identify the conduct that can lead to default or termination, any applicable cure rights, and obligations after the relationship ends. These can be material to your decision. Ask for explanations before signing, and keep a copy of the exact agreement and attachments you execute.

Your next research step

  • Read renewal, transfer, and termination provisions together.
  • Compare agreement timing with lease and financing commitments.
  • Have counsel explain post-term duties and personal exposure.
