Define the deliverables

List the work, assets, records and access the vendor will provide. Specify what completion means and who approves it. A broad promise of full service can leave both parties with different expectations about what will exist at the end of the engagement.

Ask which items the business owns and which are licensed or provided only while fees are paid. This matters for technology, creative material, customer records and equipment as applicable. Obtain legal advice about the actual terms.

Review the end at the beginning

Examine duration, renewal, notice, termination charges and the process for retrieving records or transferring access. Ask whether assistance with a handover is included and how long it takes. A low initial price can be difficult to assess without understanding continuing obligations.

Coordinate vendor terms with franchisor requirements. A business may need to maintain an approved system or supplier relationship even when dissatisfied with a particular service arrangement. Do not assume that an internal decision to cancel resolves all external obligations.

Maintain a usable record

Keep the signed agreement, verified contacts, renewal dates and a register of business-controlled accounts. Review changes in writing. This guide does not determine enforceability or recommend terminating a contract; it provides questions that make a future handover less dependent on memory and goodwill.

Put it on paper

  • Identify deliverables, ownership and licenses.
  • Read renewal, exit and handover provisions.
  • Coordinate vendor terms with system obligations.
